This Contract made by and between TELLWYND FARM, ("Tellwynd") and________________________________________________ ("Owner"),

for breeding of the Mare________________________________________________("Mare")                                  to the Stallion, _________________, ( "Stallion") for the 2000 Breeding Season ("Present Breeding Season"), subject to the following terms and conditions:

1. THE MARE. The Mare to be bred is________________________________________________Breed___________________________foaled 19___

THE MARE OWNER MAY NOT SUBSTITUTE ANOTHER MARE FOR BREEDING WITHOUT PRIOR WRITTEN CONSENT OF TELLWYND. EMBRYO TRANSPLANTS ARE PROHIBITED WITHOUT WRITTEN PERMISSION OF TELLWYND.

2. FEE. The Mare Owner agrees to pay the following:

a. A non-refundable 19 booking fee of $ ____ is due at the signing and returned of this contract.

b. A non-refundable Stallion Service Fee of $ ______ (plus Pennsylvania Sales Tax, if applicable); representing one stallion service; is payable to "Tellwynd Farm, Inc.".

c. Refundable Container Deposit $300.00 chilled $750.00 frozen

d. Lab fees - Collection and prep for semen shipments - estimated costs Chilled semen collection $200.00 per shipment Frozen Semen $200.00 per shipment

e. Shipping Fees - All costs regarding shipped semen (including return) by Federal Express. Late fees apply to containers not returned within: 4 days - chilled, 10 days - frozen

f. Additional straws; if use exceeds six straws provided $ 75.00 per straw

Any unused straws of frozen semen must be returned in good condition for refund of deposit.

Containers must be returned as directed to the laboratory or bear responsibility for late fees.

Deposit, less deductions, will be sent upon return of the original Mare Passport to Tellwynd. .

3. CONTRACT APPROVAL. The Mare Owner shall return a copy of Mare's papers and photos (front, side, and rear) with this Contract. This contract is subject to acceptance of the Mare by Tellwynd. If the mare is not acceptable to Tellwynd, at its sole option, Tellwynd shall return the booking fee to the Mare Owner, and the contract shall be void.

4. RESERVATION FOR SEMEN. Tellwynd's receipt of the above Stallion Service Fee confirms the Mare's reservation breed to the stallion for the Present Breeding Season.

5. CONDITIONS. Stallion service will be provided only to healthy Mares in sound breeding condition, as determined by a veterinarian acceptable to Tellwynd. In the event the Mare is barren, Tellwynd requires submission of a recent negative interuterine culture certificate (within 60 days). In some cases, Tellwynd may also require a uterine biopsy and/or progesterone assay. In all cases, the veterinarian must certify that the Mare's immunizations for equine rhinopnemonitits(equine herpes Type II) have been kept current. In all cases, frozen semen must be administered by a licensed veterinarian and the breeding passport duly signed. Unused straws of frozen semen must be returned to the laboratory in good condition.

 

6. RETURN OF SERVICE. The Mare Owner shall have the right of return to the Stallion's service in the following season only under the following circumstances:

a. the Mare does not settle during the present breeding season, she is eligible for return of service to the Stallion if the Mare Owner submits a veterinarian certificate to that effect. The Mare Owner recognizes Tellwynd"s right to require a negative interuterine culture prior to the Mare's return to service.

b. If the mare is examined in foal but becomes barren during gestation, she is eligible for return if Tellwynd receives a veterinary certificate of barrenness within (5) days of the examination..

c. If the Mare produces a live foal that is unable to stand alone and nurse, and subsequently dies, a veterinary certificate must be provided within five (5) days of death.

d. In all cases, the required veterinary certificate shall affirm that the Mare had been immunized for equine rhinopnemonitits(equine herpes Type II) during the pregnancy at the 3rd,5th, 7th and 9th month gestation. Where appropriate, the certificate shall also confirm that the Mare was properly care for during gestation and was attended at foaling. Tellwynd's timely receipt of the required veterinary certificate is a condition precedent to any return.

e. All rights of return to the stallion are subject to prepayment of costs set forth in 2 above.

7.RESULTING OFFSPRING. The Mare owner authorizes stallion owner to use all images of the resulting foal resulting from this contract for it's entire life in any promotional advertising, including: promotional tapes, brochures, pictures and printed matter. It is the responsibility of the mare owner named herein to inform any future buyer of said foal that this agreement exists inperpetuity.

 

8. REFUND OF FEES. This contract shall be null and void and the Mare Owner shall be entitled to a refund of any amount paid hereunder if the Stallion should die, or become unfit for service prior to serving the Mare in the Present Breeding Season. The Mare Owner shall not be entitled to any refund if the Stallion should die, or become unfit for service in any subsequent breeding season.

9. NON-ASSIGNMENT. This contract cannot be assigned or transferred by Mare Owner. There shall be no right of return to the Stallion if the Mare is sold or otherwise changes ownership after having been served by the Stallion.

10. WARRANTY. Tellwynd is not responsible for loss, delayed, or damaged semen and makes no representations or warranties of any kind with respect to any semen furnished hereunder except that it is the Stallion's. ALL WARRANTIES OF MERCHANTABILITY AND FITNESS FOR PURPOSE ARE HEREBY EXCLUDED.

11. LIABILITY. The Mare Owner shall assume all responsibility for the condition of the Mare and shall bear all risk of loss or damage to the Mare, whether by death, disease, injury, infection or otherwise, and by any cause whatsoever, and therefore agrees to hold Tellwynd or any person associated with Tellwynd, harmless for any and all damages associated therewith.

12. GOVERNING LAW. This Contract shall be governed by the laws of the Commonwealth of Pennsylvania and shall be binding upon the parties hereto and their personal representatives.
